Terms of Service

1. Intended Use

Products sold by PeptologyRx through Peptology-Rx.com (the “Site”) are intended solely for laboratory in-vitro research purposes. These products are not for human or animal use or consumption of any kind, and are not to be used as food, drugs, medical devices, in-vitro diagnostics, cosmetics, household chemicals, or for any other commercial application. PeptologyRx has not sterilized or tested these products for safety or efficacy in any food, drug, medical device, cosmetic, or commercial use. Under no circumstances shall any product be used for therapeutic, diagnostic, or recreational purposes.

2. Eligibility and Purchaser Representations

Purchasers must be at least 18 years of age. By purchasing from the Site, the purchaser represents and warrants that they are affiliated with a laboratory, institution, university, or other research-based facility that supports the purchase and use of products sold by PeptologyRx for research purposes only or as otherwise directed by a healthcare professional. A purchaser who lacks such affiliation and nonetheless completes a purchase may be committing a fraudulent act for which they could be held liable.

The purchaser further represents and warrants that they will properly test, use, manufacture, and market any product purchased, and any materials produced using such product, in accordance with the practices of a reasonably prudent, experienced professional in the field, and in strict compliance with all applicable laws and regulations. The purchaser warrants that any material produced with any product will not be adulterated or misbranded within the meaning of the Federal Food, Drug, and Cosmetic Act, and will not be introduced into interstate commerce in violation of that Act.

3. Purchaser’s Independent Knowledge of Hazards

By purchasing these products, the purchaser acknowledges that hazards are associated with their use and represents and warrants that, from the purchaser’s own independent review and study, the purchaser is fully aware and knowledgeable of:

• the health and safety hazards associated with handling the products purchased;
• the industrial hygiene controls necessary to protect workers from such hazards;
• the need to adequately warn others of health and safety hazards associated with the products; and
• applicable government regulations regarding the use of, and exposure to, such products.

The purchaser assumes sole responsibility for verifying whether the products purchased are listed on, or exempt from, the Toxic Substances Control Act (TSCA) inventory, and for confirming that use of the products complies with TSCA, if applicable. PeptologyRx does not provide guidance, protocols, or suggestions regarding reconstitution of peptides or their application to research, and will not respond to inquiries requesting such guidance. Purchasers are responsible for independently familiarizing themselves with a product and its research applications prior to purchase, including, but not limited to, consulting with a medical professional experienced in the field.

4. No License Granted

Listing of a material for sale does not constitute a license to, or recommendation for, its use in a manner that would infringe any patent.

5. Right to Refuse Service

PeptologyRx reserves the right to limit sales of, or decline to sell, products to any customer it determines, in its sole discretion, does not meet the eligibility and affiliation requirements in Section 2, or whom PeptologyRx otherwise believes intends to use the products for a purpose other than laboratory research. PeptologyRx may perform due diligence to verify the accuracy of information a purchaser provides and may require additional verification of affiliation before fulfilling an order.

Where PeptologyRx determines that a communication indicates an intent to misuse a product, PeptologyRx may decline to complete the sale and may notify the purchaser by email of the refusal. Information collected in connection with such a determination may be retained by PeptologyRx and referenced when reviewing future orders. This retention and use of purchaser information is described further in PeptologyRx’s Privacy Policy, available at Peptology-rx.com/privacypolicy, which governs what is collected, how long it is retained, and the choices available to purchasers.

6. Limitation of Liability

PeptologyRx is not liable for any damages arising from negligence, misuse, abuse, or any other unforeseen matter connected with a purchaser’s handling or use of a purchased product. In no event will PeptologyRx be liable for special, incidental, or consequential damages, whether asserted in contract, tort, strict liability, or otherwise.

7. Indemnification

In consideration of PeptologyRx’s agreement to sell products to the purchaser, which PeptologyRx would not otherwise do, the purchaser agrees to indemnify and hold PeptologyRx harmless from all claims, expenses, losses, and liabilities of any nature arising out of the purchaser’s handling and/or use of a purchased product.

8. Governing Law and Disputes

These Terms are governed by the laws of New Jersey, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or a purchase from the Site will be resolved exclusively in the state or federal courts located in New Jersey, and the parties consent to personal jurisdiction there. Any dispute, claim, or controversy arising out of or relating to these Terms or a purchase from the Site shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, rather than in court. The arbitration shall be conducted by a single arbitrator in northern New Jersey, shall be governed by the Federal Arbitration Act, and each party waives any right to a jury trial or to participate in a class, collective, or representative action.

9. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

10. Entire Agreement

These Terms, together with any Privacy Policy or order-specific terms referenced herein, constitute the entire agreement between the purchaser and PeptologyRx regarding the subject matter herein, and supersede any prior or contemporaneous understandings, whether written or oral. These Terms may not be amended except by a written modification posted by PeptologyRx on the Site.

11. Acknowledgment

By purchasing products from Peptology-Rx.com, the purchaser acknowledges that they have read, understood, and agree to be bound by these Terms of Service.
